NOBLE ROADSIDE ASSISTANCE, INC. — TERMS AND CONDITIONS
Welcome to Noble Roadside Assistance, Inc. ("NOBLE," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our mobile applications, website (tapnoble.com), software, and on-demand micro-recovery platform (collectively, the "Platform").
By registering an account, requesting a service as a Motorist, or registering as a Rescuer, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.
PART I: GENERAL TERMS (APPLICABLE TO ALL USERS)
1. Nature of the Platform
NOBLE operates as an asset-light technology platform that connects Motorists in need of roadside micro-recovery services (such as dead-battery jumpstarts, car lockouts, flat-tire changes, fuel delivery, and mobile EV charging) with independent third-party service providers ("Rescuers").
NOBLE is not a towing company, motor club, or insurance carrier.
Rescuers are independent contractors operating their own equipment, not employees, agents, or joint venturers of NOBLE.
2. Account Eligibility & Registration
- Age & Authority: You must be at least 18 years of age and possess the legal authority to enter into a binding agreement and operate a motor vehicle.
- Accuracy: You agree to provide accurate, current, and complete information during registration and keep your account profile updated.
- Security: You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3. Payments, Fees, and Pricing
- Upfront Pricing: Motorists are presented with clear, fixed flat-rate pricing before confirming any service request.
- Payment Processing: All payments are processed securely through third-party payment gateways (e.g., Stripe). By submitting payment information, you authorize NOBLE to charge your designated credit card, debit card, or digital wallet for the total amount shown.
- No Cash Policy: To ensure safety and transparent record-keeping, direct cash payments or off-platform transactions with Rescuers are strictly prohibited.
- Cancellation Policy: Canceling a request after a Rescuer has been dispatched and is en route may result in a standard cancellation fee.
4. Limitation of Liability & Disclaimers
- "As-Is" Basis: The Platform is provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied.
- Release of Liability: To the maximum extent permitted by applicable law, NOBLE shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or in connection with your use of the Platform or services rendered by Rescuers.
- Maximum Liability: NOBLE’s total aggregate liability for any claims under these Terms shall not exceed the total amount paid by you to NOBLE for the specific service call giving rise to the claim.
5. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Wayne County, Michigan.
PART II: MOTORIST (USER) TERMS
1. Service Scope & Limitations
- Micro-Recovery Focus: NOBLE specializes in lightweight roadside micro-recoveries (jumpstarts, lockouts, tire changes, fuel/EV delivery). We do not guarantee heavy flatbed towing or complex mechanical repairs.
- Safe Location Requirement: Motorists must make reasonable efforts to safely park their vehicle off active traffic lanes, activate hazard lights, and remain in a secure location while awaiting the Rescuer.
2. Motorist Conduct & Safety
Motorists must treat Rescuers with respect and professionalism. Abusive, threatening, or harassing behavior will result in immediate account termination.
Motorists must provide accurate vehicle location data and vehicle details (make, model, color, license plate) to facilitate rapid 15–20 minute target arrivals.
PART III: RESCUER (INDEPENDENT PROVIDER) TERMS
1. Independent Contractor Status
You enter into this agreement as an independent contractor. Nothing in these Terms shall be construed to create an employer-employee relationship, partnership, franchise, or agency between you and NOBLE.
You retain sole control over your working hours, service zones, and whether or not to accept a specific "Rescue Ping."
2. Rescuer Qualifications & Compliance
- Licensing & Insurance: You warrant that you hold a valid driver’s license, maintain active personal auto liability insurance meeting state-mandated minimums, and can successfully pass background and motor vehicle record checks.
- Equipment Standards: You agree to maintain all necessary service gear in safe, working condition, including but not limited to: portable jump-pack batteries, tire pressure gauges/air compressors, lockout tool kits, high-visibility safety apparel, and DOT-compliant safety triangles or cones.
3. Operational Protocols & Safety Standards
- On-Site Safety: Before initiating any micro-recovery, you must verify that the vehicle is parked securely, deploy hazard lights, and wear high-visibility safety gear.
- Unsafe Job Escalation: If a scene is deemed unsafe (e.g., stranded in an active, unlit highway lane) or requires heavy towing equipment beyond the micro-recovery scope, you must immediately contact NOBLE Dispatch support to reroute or escalate.
- Photo Verification: You agree to upload accurate "Before" and "After" service photos through the NOBLE Rescuer app for every completed job to ensure quality assurance and protect against damage claims.
- No Solicitation: You agree never to solicit cash tips, off-platform payments, or separate side agreements from motorists serviced via the NOBLE Platform.
4. Payouts & Commissions
Rescuers receive a predetermined percentage take-rate (net payout) for each successfully completed and verified service call, disbursed via direct deposit on a regular payment cycle.
